As at 13 December 2007, the share capital of Hansen amounts to EUR 17,966,814.57. It is represented by 670,104,208 shares, fully paid-up, without nominal value, each representing an equal part of the capital.

As at 13 December 2007, the number of voting rights amounts of Hansen to 670,104,208.

Shareholder Structure

In connection with the admission to trading on the London Stock Exchange which took place on 11 December 2007, a total of 181,800,458 shares (including the over-allotment shares) out of a total of by 670,104,208 shares were placed with institutional investors.

Transparency Declarations

The requirements of applicable laws and regulations on the disclosure of significant holdings in listed companies apply in full to the acquisition of holdings in the company, with the understanding that the duty of disclosure already comes into being on the acquisition of a first holding of three per cent (3%) of the company´s voting rights, without prejudice to the disclosure requirement on the acquisition of a holding of five per cent (5%) or multiples of five per cent (5%) thereafter.

Without prejudice to the above, any physical person or legal entity which acquires, directly or indirectly, voting right securities of Hansen, whether or not representing capital, must notify the board of directors of Hansen and the Banking, Finance and Insurance Commission (CBFA), in compliance with legal provisions in force, of the number and the percentage of the existing voting rights he / she / it holds as a result of the acquisition, whether directly, indirectly or by acting in concert with one or several other persons, when the voting rights attached to the voting right securities reach or exceed 3%, 5%, 10%,15%, 20% and any further multiple of 5% of the total existing voting rights.

A similar notification is required when due to disposals of securities the number of voting rights falls below one of the above-mentioned thresholds.
