Shareholder Structure
On 25 July 2011, the boards of ZF Friedrichshafen AG ("ZF") and Hansen Transmissions International NV ("Hansen") announced the terms of a recommended cash offer for the entire issued and to be issued share capital of Hansen made by ZF International B.V., a wholly owned subsidiary of ZF. As the Offer was successful, on 6 October 2011, ZF Friedrichshafen AG declared its recommended cash offer for the entire issued and to be issued share capital of Hansen Transmissions International NV unconditional in all respects. Hansen now is a full subsidiary of the ZF Group and will manage the ZF Wind Power business unit.
